
Terms of Service
I) Who makes these rules?
1.1. These Terms of Service ("Agreement") are governed by and in accordance with the laws of the United Arab Emirates, with specific jurisdiction in the Emirate of Dubai. This Agreement is between Alumco LLC, a company registered in Dubai, UAE ("Alumco," "Company," "we," or "us") and you ("User," "you," or "your").
1.2. By accessing or using ALUMCO.IO and its related domains (the "Platform"), you expressly acknowledge and agree to be bound by this Agreement and our Privacy Policy, which is incorporated herein by reference.
1.3. For purposes of this Agreement:
- "Institution" means any educational entity that has entered into a service agreement with Alumco.
- "Minor User" means any User under 16 years of age.
- "Content" means any information, data, text, software, music, sound, photographs, graphics, video, messages, or other materials.
- "Services" means all services provided by Alumco through the Platform.
II) Can I use the platform?
2.1. Age and Capacity. By using the Platform, you represent and warrant that you are at least 16 years of age.
2.2. Institutional Requirements. Institutions warrant and represent that they:
- Comply with all applicable education and minor protection laws;
- Accept full responsibility for verifying the accuracy of provided consents.
2.3. Communications and Consent. By accepting these Terms, User explicitly consents to:
- Receipt of email communications from Alumco regarding: Platform security updates, Feature announcements, Service modifications, Legal notifications
- Storage and processing of anonymized data by Alumco of: Service utilization metrics, Platform usage patterns, AI interaction data.
2.4 Communication Limitations. Alumco shall:
- Limit email communications to essential Platform updates, improvements and security notices
- Provide opt-out options for non-essential communications
- Maintain communication records as required by law
- Honor communication preferences subject to legal requirements
III) What can I do with the platform?
3.1 Grant of Limited License. Alumco grants you a limited license to use the Platform, subject to: The license is personal, revocable, and non-exclusive; No transfer or sub licensing rights permitted; Internal use purposes only; Compliance with documentation and functionality; All rights not expressly granted are reserved by Alumco; Immediate termination rights for breach.
3.2 License Restrictions. Prohibited Platform Actions:
- Copy, modify, or create derivative works
- Reverse engineer or attempt to derive source code
- Rent, lease, sell, or transfer rights
- Remove or alter copyright notices
- Use for unauthorized or illegal purposes
- Access through automated means
- Bypass security features
- Interfere with Platform performance
3.3 Ownership and Proprietary Rights. Alumco and its licensors exclusively own: All intellectual property rights worldwide; Patents, copyrights, trademarks, and trade secrets; All modifications and enhancements; User feedback and suggestions; Usage data and analytics; Associated goodwill.
3.4 Feedback and Contributions. Terms for Platform feedback: All feedback rights assigned to Alumco; Feedback provision is voluntary; Usage without compensation permitted; No credit obligation exists; Alumco may modify and distribute freely.
3.5 Reservation of Rights. No ownership granted by Agreement; Only explicitly stated rights granted; All other rights reserved by Alumco; Usage creates no ownership rights.
3.6 Protection of Proprietary Rights.Your Obligations: Protect Alumco's proprietary rights; Use at least reasonable care; Report unauthorized use promptly; Cooperate in rights protection.
3.7 Third-Party Materials. Platform may include third-party materials; Separate license terms may apply; Alumco bears no responsibility; No third-party rights granted.
3.8 Legal Consequences. Platform use constitutes term acceptance; Violations may trigger immediate termination; Legal action may result from violations; All remedies remain available to Alumco.
IV) How is my data used?
Alumco operates under UAE Federal Decree-Law No. 45/2021 on Personal Data Protection.
4.1 Legal Status and Authority.Alumco hereby operates as a Data Processor for educational institutions' data management.
4.2 Processing Limitations and Requirements. Alumco shall not: Sell personal data; Conduct unauthorized marketing; Share data with unauthorized parties; Exceed stated processing purposes. All processing shall: Maintain minimum necessary scope; Implement UAE-compliant security measures; Ensure full user transparency.
4.3 Protection and User Rights. Alumco shall maintain: Technical safeguards including encryption and access controls; Organizational measures including staff training and audits. Users retain rights to: Access, correct, and port their data; Request deletion subject to UAE law.
4.4 Incident Response and Retention. For security incidents, Alumco shall: Contain and investigate immediately; Notify within seventy-two (72) hours; Implement remediation measures. Data retention shall comply with: UAE legal requirements; Regulatory mandates; Service necessity principles.
V) What if something goes wrong?
5.1 Disclaimer of Warranties.To the fullest extent permissible under applicable law, the Platform and all related elements are provided "as is," "with all faults," and "as available," without any warranties whatsoever.
5.2 Limitation of Liability.Nothing in this Agreement excludes or limits Alumco's liability for: Fraud or fraudulent misrepresentation; Gross negligence; Death or personal injury caused by negligence; Any other liability that cannot be excluded under UAE law. Alumco's total liability shall not exceed the lesser of: The amount paid by you in the previous 12 months; or AED 10,000.
5.3 Indemnification. You agree to defend, indemnify, and hold Alumco and related parties harmless from claims arising from: Your Platform usage; Your content; Agreement breaches; Negligence; Law violations; Third-party right violations.
5.4 Essential Agreement Basis. The parties acknowledge that these limitations are essential and influenced the agreement decision.
5.5 Time Limitation. Claims must be filed within one year of incident or be permanently barred.
VI) How is my data protected?
6.1. Security Measures. Alumco implements appropriate technical and organizational security measures, including:
- UAE-compliant encryption standards;
- Access controls and authentication measures;
- Regular security assessments and audits;
- Enhanced protections for Minor User data.
6.2. Breach Notification. In the event of a security breach:
- Alumco will notify affected Users within 72 hours;
- Parents/guardians of affected Minor Users will be notified immediately;
- Relevant authorities will be notified as required by law;
- Appropriate remediation measures will be implemented.
6.3. Data Transfer. Data transfers outside the UAE occur only when: Required for essential service delivery; Authorized by explicit user consent; Permitted by UAE law.
VII) When can my access be ended?
7.1. Termination Rights. Alumco reserves the right to terminate or suspend access to the Platform:
- For any Violation of this Agreement;
- Upon receipt of a court order or regulatory requirement;
- To protect Minor Users or comply with UAE law;
- At our sole discretion with reasonable notice.
7.2. Effect of Termination. Upon termination:
- All licenses granted herein shall immediately terminate;
- You must cease all use of the Platform;
- Certain provisions shall survive as specified herein;
- You remain liable for any outstanding obligations.
VIII) What if there is a dispute?
8.1. This Agreement shall be governed by UAE law, with exclusive jurisdiction in the Dubai Courts.
8.2. Any dispute shall first be subject to mandatory mediation before filing legal proceedings.
IX) What else should I know?
9.1 Force Majeure Events.Alumco's obligations may be suspended due to: Natural disasters; War, civil unrest, or terrorism; Government actions or regulations; Epidemics or pandemics; Trade restrictions or embargoes; Nationwide telecommunications failures; Other events beyond reasonable control.
9.2. Severability. If any provision of this Agreement is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.
9.3. Assignment.You may not assign your rights under this Agreement without Alumco's prior written consent.
9.4. Entire Agreement. This Agreement constitutes the entire agreement between you and Alumco regarding the Platform.
